How does a tenancy with an option to buy work?

It is two contracts in one, a residential tenancy and an option to buy, which allows the tenant to decide, within a set period, whether to buy the home at a price fixed in advance. Normally the tenant pays an option fee for that right and it is agreed that the fee and part of the rent will be deducted from the price if the tenant does eventually buy. If the tenant does not buy, the landlord keeps the fee and what has been paid as rent is not refunded, unless otherwise agreed. The tenancy is still a residential tenancy, with its rent limits and its minimum term of five years, or seven if the landlord is a legal entity. For the option to be effective against anyone who later buys the home, it is advisable to enter it in the “Registro de la Propiedad”, the Land Registry.

What should be agreed

Almost everything depends on what is written in the contract, which should make the following clear:

  • The purchase price, fixed or set by a clear formula. Leaving it “at market price” may make the option invalid.
  • If there is an option fee, its amount and whether it is deducted from the price. It must be a genuine option fee. A fee that is really rent paid in advance or a disguised guarantee can be challenged because of the limits the law places on rent and guarantees.
  • What part of each rent payment will be deducted from the price if the tenant buys.
  • The period for exercising the option and how it is to be notified, in writing and in a way that leaves a record.
  • The time limit for signing the deed and paying the price. Also who pays the costs and taxes of the purchase.

The tenancy is still residential

  • The tenant is entitled to stay for five years, or seven if the landlord is a legal entity, such as a company, with the statutory extensions. If the tenant decides not to buy, the tenancy does not end because of that and continues until the end of its statutory term.
  • The rent is only updated if this was agreed and never above the IRAV, the index that the INE, Spain's National Statistics Institute, publishes every month for rent updates. In stressed residential market areas (“zonas tensionadas”), those declared as such because of the difficulty of accessing housing, it is also subject to the area's limits.
  • In contracts signed since 8 October 2026, the tenant cannot waive the pre-emption right (right of first refusal, “tanteo”, and right to buy back, “retracto”), the right to buy in preference to others if the landlord sells to someone else. It is a different right from the option and the two coexist.

Registration and the most common problems

To register the option in the Land Registry, this must be expressly agreed and the purchase price, the option fee if there is one and the period must be fixed. In a tenancy with an option to buy, that period can last for the whole tenancy, but the registered option lapses if the tenancy is extended, including when the extension is imposed by law. That is why it is advisable for the option period to fall within the agreed term of the contract, for example a five-year contract with an option during those five years. In Catalonia, the option also cannot last more than ten years.

If the landlord sells the home to someone else during the option period, the buyer must respect the option if it is registered. If it is not, the tenant can in principle only claim compensation from the landlord. Even so, the tenant keeps the pre-emption right, which allows them to buy at the same price as the third party, unless they waived it in a contract signed before 8 October 2026. And if the tenant exercises the option and the landlord refuses to sell, the tenant can ask the court to order the landlord to sign the sale or to pay compensation. Before suing, the law requires an attempt at negotiation.
